Welcome to Lobby9! These Terms of Service (“Terms”) govern your access to and use of Lobby9, a social gaming platform that unifies your player journey in one place. Lobby9 enables you to connect gaming accounts (including Xbox, PlayStation, Steam, and others), share milestones, discover guides, participate in competitions, and connect with other players and communities.

By creating an account, accessing, or using Lobby9 in any way, you confirm that you have read, understood, and agree to be bound by these Terms and all referenced policies. If you do not agree, you must not use the Services.

1. Introduction

1.1 These Terms of Service (“Terms”) govern your use of Lobby9, a cross-platform achievement tracking and social platform operated by LIMITED LIABILITY COMPANY “BIOM STUDIO” (LLC “BIOM STUDIO”), Ukraine, Heroiv Kharkova Ave. 199D, Kharkiv, 61044 (“Lobby9,” “we,” “us,” “our”).

1.2 By accessing or using Lobby9, you agree to be legally bound by these Terms. If you do not agree, you may not use the Services.

1.3 These Terms incorporate by reference our Privacy Policy, which explains how we collect and use your data.

1.4 We may amend these Terms at any time. Updates will be published on lobby9.com and take effect 15 days after notice. Continued use means acceptance of the new Terms.

1.6 You must be at least 13 years old (or the minimum digital consent age in your country, 13–16 in the EU). If you are under 18, you represent you have parental/guardian consent.

2. Definitions

• “Lobby9,” “we,” “us,” or “our” — refers to LIMITED LIABILITY COMPANY “BIOM STUDIO”, a legal entity registered in Ukraine (Heroiv Kharkova Ave. 199D, Kharkiv, 61044), including our affiliates, employees, and authorized representatives.

• “Services” — the online services provided by Lobby9, including the website, mobile and desktop applications, APIs, databases, and all related features such as achievement tracking, social feeds, leaderboards, profile customization, community discussions, competitions, and analytics.

• “User,” “you,” or “your” — any natural person who accesses or uses Lobby9, whether or not they create an Account.

• “Account” — the registered profile on Lobby9 associated with a unique User, including login credentials, nickname, avatar, customization, and connected External Platforms.

• “Content” — any data, text, images, videos, comments, guides, reviews, discussions, avatars, or other material uploaded, posted, shared, or displayed by a User on Lobby9.

• “Virtual Items” — digital points, levels, badges, avatars, cosmetics, or other non-monetary features earned or unlocked within Lobby9. Virtual Items have no real-world monetary value and cannot be exchanged or redeemed for cash.

• “External Platforms” — third-party gaming services or databases integrated with Lobby9, including but not limited to Steam and IGDB.

• “Steam Data” — information retrieved via the official Steam Web API, such as game ownership, achievements, and playtime. Availability and accuracy are governed by Steam’s API Terms of Use.

• “PlayStation Data” — metadata, achievements, and images related to PlayStation games retrieved from IGDB (Internet Game Database), in accordance with IGDB’s Content Policy.

• “Third-Party Content” — content, logos, trademarks, or data owned by third parties (e.g., Steam, PlayStation, IGDB, Xbox) that may appear in Lobby9. Such rights remain with their respective owners.

• “Influencer/Partner Account” — a User Account approved by Lobby9 under an official Influencer, Partner, or Revenue-Share Program, subject to a separate agreement.

• “Privacy Policy” — the separate document available at https://lobby9.com/legal/privacy-policy, describing how Lobby9 collects, uses, and stores personal data.

• “Intellectual Property Rights” — all current and future rights under copyright, trademark, patent, trade secret, database, design, moral rights, and other proprietary rights recognized in any jurisdiction.

• “Terms” — these Terms of Service, including all future amendments and updates.

3. Description of Services

3.1 Lobby9 is a social gaming platform that allows Users to:

• Connect accounts from supported platforms (Steam, PlayStation, Xbox, Epic, etc.);

• View and share milestones, achievements, and feeds;

• Participate in leaderboards, challenges, and competitions;

• Customize profiles with avatars, themes, and cosmetics;

• Engage in discussions, guides, and reviews;

• Access analytics and gameplay insights.

3.2 Services are intended primarily for personal, non-commercial use. However, Users participating in official Influencer or Partner Programs may use Lobby9 in a commercial capacity under separate agreements. Eligibility, payouts, metrics, taxes, and disclosures are governed by separate written terms. Lobby9 may audit performance and suspend or terminate a program account for fraud, self-dealing, or violation of law or these Terms. Participants are solely responsible for tax reporting and for making clear and conspicuous advertising disclosures where required.

3.3 Lobby9 may automatically display activity (e.g., unlocked achievements, games played) from connected accounts.

3.4 Lobby9 may display third-party advertising, promotions, or offers. Interactions with such third parties are governed by their terms.

3.5 We may add, remove, or modify features at our sole discretion. Lobby9 may also impose or change storage, sync, or rate limits; schedule maintenance; or suspend features for maintenance or security reasons.

4. Data Sources & Third-Party Content

4.1 Steam Data — Retrieved via the Steam Web API. Accuracy and availability depend on Valve’s API.

4.2 PlayStation Data — Metadata and images are provided by IGDB, in accordance with IGDB’s Content Policy

4.3 Transparency — Lobby9 does not sell or restrict Steam or IGDB data. This information is publicly accessible under their terms.

4.4 Third-Party Rights — All trademarks, logos, and game data remain the property of their respective owners.

4.5 No Warranty — Data from External Platforms may be incomplete, outdated, or withdrawn without notice.

4.6. External Platform Terms. You must comply with the applicable terms of any External Platform you connect (e.g., Steam, PlayStation, Xbox, IGDB etc.). You will not use Lobby9 to violate, circumvent, or exceed permissions granted by those platforms. Lobby9 may restrict features or suspend accounts to comply with External Platform terms or requests.

5. Features and Services

Lobby9 offers a variety of features to enhance your gaming experience. Below, each feature is described in detail in the context of its availability and usage as part of this agreement:

5.1. Progress Tracking

Description: Lobby9 consolidates achievements across supported platforms such as Steam, PlayStation Network, and Xbox Live.

Functionality: The Service retrieves unlocked achievements, progress percentages, and playtime via official APIs (e.g., Steam Web API) or publicly available sources (e.g., IGDB). Data is displayed in a unified dashboard.

Limitations: Accuracy and availability are dependent on third-party APIs. If external platforms restrict or terminate access, certain data may not be retrievable.

5.2. Game Library & Game Related Data

Description: Provides a consolidated view of each User’s game libraries across linked platforms.

Functionality: Imports game titles, metadata, and progress data from external sources to create a unified profile.

Limitations: Some titles or data may be unavailable, incomplete, or delayed due to restrictions or outages of third-party platforms.

5.3. Profile Customization

Description: Allows Users to personalize their profiles with avatars, backgrounds, themes, frames, and similar design features.

Functionality: Items are earned through platform activity, achievements, or community events. Users can preview and apply changes directly within the platform.

Limitations: Customization items are non-transferable, non-refundable, and carry no monetary value. Lobby9 may modify or discontinue items at its discretion.

5.4. Competitions and Leaderboards

Description: Provides challenges, tournaments, and leaderboards for Users to showcase performance.

Functionality: Rankings are calculated based on criteria such as points earned, milestones achieved, or community participation.

Limitations: Competition rules may change at any time. Cheating, automation, or manipulation will result in disqualification and possible account suspension.

5.5. Discussions and Guides

Description: A community forum for exchanging opinions, strategies, guides, and reviews.

Functionality: Users can create and contribute to threads, organized by game or topic.

Limitations: All User Content must comply with the Conduct Policy (Section 6). Lobby9 reserves the right to edit or remove content violating these Terms or applicable law.

5.6. Personalized Feeds and Activity Posting

Description: Displays a stream of updates from User activity.

Functionality: Lobby9 automatically generates activity posts when milestones are achieved (e.g., unlocked trophies, new games played).

Limitations: Data accuracy and timeliness depend on third-party APIs. Not all activity may be reflected immediately or completely.

5.7. Analytics and Insights

Description: Lobby9 provides Users with detailed analytics designed to help them understand and visualize their gaming activity.

Functionality: Analytics may include, without limitation:

• Player activity charts and trends (e.g., hours played over time).

• Tracking of games added to a User’s library.

• Statistics on achievements earned, categorized by rarity.

• Contribution metrics for discussions, guides, or community posts.

• Comparison of games by genre, completion rates, or popularity.

• Aggregated and anonymized community-wide statistics such as ownership trends or active player counts.

Limitations: Analytics are provided for informational and entertainment purposes only. They may not reflect complete or real-time data and should not be relied upon as definitive records of User activity. Accuracy is dependent on external platforms and User participation. Lobby9 does not guarantee the correctness, completeness, or timeliness of analytics and is not liable for any reliance placed upon them.

5.8. Search Features

Description: Enables Users to search for games, achievements, guides, discussions and other Users.

Functionality: Includes keyword-based search with filtering and sorting options to refine results

Limitations: Search results depend on available platform data. Not all games or Users may appear.

5.9. Social Card Creation

Description: Allows Users to generate personalized “social cards” for sharing milestones outside the platform.

Functionality: Social cards may include game progress, unlocked achievements, or rankings, styled with Lobby9 branding and customization options.

Limitations: Social cards are for personal, non-commercial use only unless expressly authorized. Lobby9 may restrict or revoke sharing functionality if misused.

5.10. Points and Levels

Description: A progression system to reward activity on the platform including unlocking achievements, daily logins and user generation content creation.

Functionality: Users earn points through gameplay, achievements, and community engagement. Levels are determined by cumulative activity and may unlock customization items or other rewards.

Limitations: Points and levels have no monetary value. Rules and calculations may be adjusted for balance.

5.11. User Profiles

Description: Lobby9 provides Users with the ability to control the visibility of their profiles.

Functionality: Users may set their profile visibility using one of the following privacy options:

• Public – Profile is visible to all Users of Lobby9.

• Friends Only – Profile is visible only to Users approved as friends.
• Private – Profile is visible only to the User.

Default profile setting is Friends Only (or whatever you choose). Public profiles may be indexed by search engines; you can change visibility at any time, but removal from third-party caches is outside Lobby9’s control.

Limitations: While Lobby9 offers privacy settings, absolute privacy cannot be guaranteed. Content shared in public or friends-only profiles may still be copied, redistributed, or otherwise used by other Users beyond Lobby9’s control.

5.12. AI Copilot

Description: AI Copilot is an experimental assistant inside Lobby9 that helps Users discover games and guides, summarize discussions, surface achievement tips, compare progress and more. It may personalize suggestions using your in-product activity and connected External Platforms, as described in the Privacy Policy.

Functionality: AI Copilot may perform one or more of the following, subject to availability and your settings:

• Discovery & Recommendations. Suggest games, guides, discussions, or competitions based on your connected libraries (e.g., Steam) and public metadata (e.g., IGDB). Lobby9.

• Contextual Answers. Answer gameplay or platform questions using public sources and your visible activity (e.g., “what should I finish next in XYZ?”).

• Personalization Inputs. May use: (a) your Lobby9 activity (e.g., games, achievements, sessions), (b) connected External Platform data you authorized (e.g., Steam via Steam Web API), and (c) public game metadata/images from IGDB.

• Safety & Filtering. Prompts and outputs may be filtered, blocked, or rewritten to comply with these Terms (e.g., no harassment, cheating instructions, or illegal content).

• Third-Party AI Processors. To provide AI features, Lobby9 may use one or more third-party model providers or sub-processors. Processing is subject to our Privacy Policy; these providers do not receive your login credentials to External Platforms.

• Human Review & Improvement. We may review sampled prompts/outputs (and associated metadata) to debug abuse, ensure safety/quality, and improve models, as described in the Privacy Policy.

Limitations: AI Copilot is informational and entertainment-only. It is not professional advice. You remain solely responsible for your decisions and reliance on outputs.

• Accuracy & Hallucinations. Outputs may be inaccurate, incomplete, out-of-date, offensive, or misleading (including wrong stats, misattributed achievements, or invalid tactics). Verify before acting.

• No Pro Advice. AI Copilot does not provide legal, medical, safety, or financial advice. Do not rely on it for risk-sensitive decisions.

• Data Availability. Personalization depends on your connected accounts and third-party APIs (e.g., Steam, IGDB). If access is restricted or revoked, features may degrade or be unavailable.

• Privacy & Sensitive Data. Do not enter sensitive personal data (e.g., government IDs, payment card numbers, health data) into prompts. AI prompts/outputs may be stored and reviewed for safety/quality as described in the Privacy Policy.

• Content Boundaries. Requests that seek or promote cheating, exploits, bypassing security/DRM, hate or harassment, doxxing, illegal acts, or infringement will be blocked or redacted and may lead to account action under Section 7 (Conduct).

• Rate Limits & Availability. AI Copilot may be rate-limited, geo-restricted, delayed, or temporarily disabled for maintenance, abuse prevention, or capacity reasons.

• Output Similarity & IP. Because models are probabilistic, similar or identical outputs may be generated for different Users. You are responsible for ensuring your use of outputs complies with applicable laws and third-party rights. Lobby9 does not guarantee exclusivity of any output.

• Ownership & License to Outputs. As between you and Lobby9, you may use AI outputs you receive for your personal, non-commercial use within the Services, subject to these Terms. Lobby9 retains all rights in the Services and underlying models.

• Feedback License. If you rate, report, or suggest improvements to AI Copilot, you grant Lobby9 a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or attribution.

• Third-Party Terms. AI Copilot’s use of External Platform data is subject to their terms (e.g., Steam Web API terms; IGDB terms). Outputs derived from such data are provided as permitted by those terms; if those terms change, features may change or stop.

• No Circumvention. You must not use AI Copilot to (a) scrape or mass-export data, (b) reverse engineer models, (c) automate gameplay or manipulate competitions, or (d) generate disallowed content. See Section 7.9 (Technical Restrictions).

• Liability. To the maximum extent permitted by law, Lobby9 disclaims responsibility for errors, omissions, or consequences arising from your use of AI Copilot. See Section 8 (Disclaimers) and Section 8.12 (Liability Cap).

6. Access and Use of Lobby9

6.1 General Accessibility. Lobby9 is available worldwide and anyone may create an Account, subject to compliance with these Terms and applicable law. By registering, you confirm that you meet any applicable age requirements in your jurisdiction. Lobby9 is not directed to children under 13 (or the minimum digital consent age where you live).

6.2 Guest Access. Users who do not register for an Account (“Unauthorized Users”) may access Lobby9 in a limited capacity. Such access may allow browsing of certain public areas (e.g., public profiles, general discussions, or guides), but will not provide full functionality.

6.3 Account Registration. To access full functionality, you must create an Account using either (i) an existing authentication provider (e.g., Google, Discord, Reddit, X), or (ii) your email address and a password. You will also be required to select a unique nickname.

6.4 Account Confirmation. If you register using email and password, you will receive a confirmation email to complete registration. If you do not receive confirmation, please contact us at support@lobby9.com.

6.5 Feature Limitations Without Linked Accounts. Certain features (such as activity analytics, personalized feeds, or achievement comparisons) require connected gaming accounts (e.g., Steam, PlayStation, Xbox). Without these connections, Lobby9 may not have sufficient user activity data to provide those features.

6.6 Account Security. You are solely responsible for safeguarding your account credentials and preventing unauthorized use. If you become aware of or suspect any security breach, including loss, theft, or unauthorized disclosure, you must notify us immediately and change your password. You remain responsible for all activity conducted under your Account.

6.7 Profile Visibility. Once your Account is created, certain profile information (e.g., nickname, avatar, cover image, level, achievements, and library) may be visible to other Users according to your privacy settings (see Section 5.8, Public Profiles).

7. Conduct Policy

7.1. User Responsibility

You are solely responsible for your interactions with other Users and all activities conducted through your Lobby9 Account.

7.2. Monitoring and Data Usage

We reserve the right, but are not obligated, to monitor User-generated content (e.g., avatars, description texts) and interactions between Users. Any data from these interactions may be used to fulfill our obligations under this Agreement. For more information on how we process this data, please refer to our Privacy Policy.

7.3. Community Standards and Enforcement

To ensure Lobby9 remains a safe and respectful platform for everyone, the following enforcement actions may be taken against violations of this Conduct Policy:

• Content removal

• Account warnings

• Temporary suspension

• Permanent suspension or deactivation

Enforcement actions are determined at Lobby9’s sole discretion. You may appeal by contacting support@lobby9.com; Lobby9 may uphold, modify, or reverse an action, but is not obligated to reinstate content or access.

7.4. Legal Compliance

Users must not engage in or encourage illegal activity. All activities on Lobby9 must comply with applicable laws and regulations.

7.5. Respectful Interactions

Stalking, intimidation, threats, or harassment of other Users are strictly prohibited. Harassment includes, but is not limited to:

• Making threats

• Repeated unwanted contact

• Posting personal information of another individual

Lobby9 reserves the right to act against any Account deemed to pose a threat to others.

7.6. Prohibited Content and Conduct

The following types of content and interactions are strictly prohibited:

• Hate Speech and Offensive Language: Content that targets, disparages, or stereotypes any ethnic, racial, sexual, or religious group, or includes abusive or inflammatory language.

• Sexually Explicit Content: Content containing nudity, obscenity, pornographic, exploitative, or suggestive material.

• Private or Personally Identifiable Information: Sharing personal data of others (e.g., phone numbers, addresses) without consent.

• Illegal and Infringing Content: Material that violates laws, infringes intellectual property rights, or breaches privacy/contractual obligations.

• Glamorizing Violence: Any content inciting real-life violence or portraying it as acceptable, glamorous, or desirable.

7.7. Authenticity and Transparency

Commercial or promotional activity is permitted only if conducted from an authentic Account linked to the owner or licensor of the promoted product or service. When promoting third-party products or services, Users must clearly disclose such relationships. Inauthentic or deceptive promotional Accounts are strictly prohibited.

7.8. Reporting Violations

If you believe another User is violating these policies, please report the issue to support@lobby9.com. Lobby9 will investigate and take appropriate action at its sole discretion.

7.9. Technical Restrictions

You will not:

(a) access the Services via bots, spiders, scrapers, or automated means;

(b) harvest or index data from the Services;

(c) circumvent rate limits, access controls, or security measures;

(d) probe, scan, or test the vulnerability of the Services;

(e) frame, mirror, or replicate the Services without our written consent.

8. Disclaimers, Limitation of Liability, and Indemnity

8.1. No Guarantee of Service Quality or Accuracy

We make no representation, warranty, or guarantee regarding the safety, reliability, accuracy, timeliness, quality, suitability, or availability of data shared by other Users or obtained from third-party sources (including Steam API, IGDB, or PlayStation Network data). We do not guarantee that the use of Lobby9 will be uninterrupted, secure, or error-free.

8.2. Accuracy of Information

While we use reasonable skill and care to manage data offered through Lobby9, we cannot guarantee that all information is accurate, complete, or current. We are not responsible for typographical errors, technical interruptions (including breakdowns, upgrades, or maintenance), or inaccurate, misleading, or incomplete information. Lobby9 should not be considered a recommendation or endorsement of any game, service, or User content unless explicitly stated otherwise.

8.3. Assumption of Risk

You agree that your use of Lobby9 and its services is at your sole risk to the fullest extent permitted under applicable law. Information and recommendations provided by Lobby9 (including AI Copilot features) are for informational and entertainment purposes only and may not always be accurate or appropriate. You remain solely responsible for any reliance on such information.

8.4. Service Availability

We aim to provide continuous, reliable access to Lobby9. However, we do not guarantee uninterrupted service and accept no responsibility for interruptions, delays, loss of data, or failures caused by technical issues, maintenance, or events beyond our control.

8.5. User Interactions

We are not a party to, nor do we have involvement or responsibility for, any communications, transactions, or disputes between you and other Users. You are solely responsible for your interactions with other Users on Lobby9.

8.6. Limitation of Damages

To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special, punitive, or consequential damages, including but not limited to lost profits, lost data, business interruption, personal injury, or property damage arising out of your use of Lobby9, even if advised of the possibility of such damages.

8.7. Liability for Third-Party Transactions and Data

We are not liable for damages, losses, or liabilities arising from:

• Your reliance on or inability to access Lobby9.

• Any transactions or relationships between you and third parties connected to Lobby9.

• The accuracy, completeness, or availability of data provided by external platforms (including Steam API, IGDB, and PlayStation Network), which remain governed by their respective terms of service.

8.8. Release of Claims

To the fullest extent permitted by law, you release us (including our officers, directors, employees, agents, and affiliates) from any claims, demands, or damages of any kind, known or unknown, arising from or connected to your use of Lobby9 or interactions with other Users.

8.9. Force Majeure

We shall not be held liable for delays or failure in performance caused by circumstances beyond our reasonable control, including natural disasters, pandemics, strikes, government actions, power outages, cyberattacks, or technical failures.

8.10. Jurisdictional Limitations

Nothing in these Terms excludes or limits liability where such exclusion or limitation is unlawful. Certain jurisdictions (including the European Union, United Kingdom, and certain U.S. states) do not allow the exclusion of implied warranties or limitation of liability for consumer rights. In such cases, our liability shall be limited to the minimum extent permitted by law.

8.11. Indemnification

You agree to indemnify, defend, and hold harmless Lobby9, its affiliates, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from:

• Your use or misuse of Lobby9.

• Your breach of these Terms or violation of applicable law.

• Any content you submit, post, or share through Lobby9.

• Your violation of the rights of another User or third party.

• Any third-party claims brought against Lobby9 as a result of your actions or omissions.

8.12. Liability Cap.

To the maximum extent permitted by law, Lobby9’s total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the greater of (a) the amounts you paid (if any) to Lobby9 for the Services in the twelve (12) months before the event giving rise to liability, or (b) one hundred (100) U.S. dollars.

9. Intellectual Property Rights

9.1. Ownership of Intellectual Property

All Intellectual Property Rights in or related to Lobby9, including but not limited to its software, source code, databases, documentation, interfaces, design, trade dress, features, and all copies thereof, are and shall remain the sole and exclusive property of LIMITED LIABILITY COMPANY “BIOM STUDIO” (LLC “BIOM STUDIO”) and/or its licensors and subcontractors, as applicable.

9.2. No Transfer of Rights

These Terms do not transfer or grant you any ownership rights in Lobby9 or any Intellectual Property associated with it. All rights not expressly granted in these Terms are reserved by Lobby9. You may not copy, modify, distribute, reverse-engineer, decompile, disassemble, scrape, frame, mirror, or otherwise exploit any part of Lobby9 except as expressly permitted by these Terms or applicable law.

9.3. User-Generated Content

You retain ownership of any content you create or submit to Lobby9 (such as guides, discussion posts, or custom profile elements). However, by submitting such content, you grant Lobby9 a worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to use, host, store, reproduce, modify, distribute, publish, and display such content for the purpose of operating, promoting, and improving Lobby9. You represent that you have the necessary rights to grant this license.

9.4. Third-Party Content

Any third-party content displayed on Lobby9, including but not limited to trademarks, logos, images, or copyrighted material, is the property of its respective owners. Such third parties may not be affiliated with, connected to, or endorsed by Lobby9. You are not permitted to use, reproduce, modify, or distribute any third-party content without prior written consent from the respective owner.

9.5. Third-Party Content

Certain game-related information, including game metadata, images, and achievement data, is sourced from third-party providers, such as the Steam API (subject to the Steam API Terms of Use) and IGDB (subject to the IGDB Terms of Service). Lobby9 does not claim ownership of such data and provides it solely under the terms permitted by those providers.

9.6. Copyright & Trademark Notices.

If you believe content infringes your intellectual property, send a notice to support@lobby9.com with:

(a) your contact details,

(b) identification of the work/mark,

(c) the allegedly infringing material and its location,

(d) a statement of good-faith belief,

(e) a statement under penalty of perjury that the information is accurate and that you are the owner or authorized to act, and

(f) your signature. Lobby9 may remove or disable access to the material and, in appropriate circumstances, terminate repeat infringers.

9.7. Feedback.

If you provide ideas, suggestions, or proposals, you grant Lobby9 a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or attribution.

10. Term and Termination

10.1. Agreement Duration

These Terms constitute a binding agreement between you and Lobby9 and will remain in effect as long as your Account is active and not deactivated in accordance with this Section.

10.2. User-Initiated Termination

You may discontinue use of Lobby9 and request account deactivation at any time. Upon such request, we will deactivate your Account within a reasonable period. Certain personal data may continue to be retained and processed after deactivation, but only as permitted by our Privacy Policy, applicable law, or for legitimate business purposes (such as compliance with legal obligations, dispute resolution, or enforcement of these Terms).

10.3. Platform-Initiated Termination

We reserve the right, at our sole discretion, to suspend or terminate your access to Lobby9 (in whole or in part) immediately and without prior notice if:

• You breach these Terms or any applicable law;

• Your conduct negatively impacts the safety or experience of other Users;

• We are required to do so by law, regulatory order, or a third-party service provider;

• We discontinue or materially modify Lobby9 or any of its features.

10.4. Effect of Termination

Upon termination, all rights granted to you under these Terms shall cease immediately. You acknowledge that you will not be entitled to compensation, reimbursement, or damages for any termination of access to Lobby9, except as required by applicable law. If you have paid for any premium features or services, refunds will only be issued if required by mandatory consumer protection laws.

10.5. Survival

Sections of these Terms which by their nature should reasonably survive termination (including but not limited to Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution) shall survive and continue to apply after termination.

11. Applicable Law and Dispute Resolution

11.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to conflict of law principles.

11.2. Mandatory Consumer Protection Rights

If you are a consumer residing in a jurisdiction with mandatory consumer protection laws (including but not limited to the United States, United Kingdom, Canada, Australia, or the European Union), you will not be deprived of the rights granted to you under the laws of your country of residence. In such cases, these Terms shall be applied to the maximum extent permissible under applicable law, and mandatory local consumer rights shall prevail where required.

11.3. Dispute Resolution for Business Users

If you are accessing or using Lobby9 on behalf of a business, any dispute, controversy, or claim arising out of or relating to these Terms or the use of Lobby9 shall be subject to the exclusive jurisdiction of the competent courts of Ukraine.

11.4. Dispute Resolution for Consumers

If you are a consumer, you may bring legal proceedings relating to these Terms either (i) in the courts of Ukraine, or (ii) in the courts of your country of residence, where mandatory consumer protection laws provide such right.

11.5. Alternative Dispute Resolution

If you are a User domiciled in the European Union, disputes between you and Lobby9 may also be submitted to the Online Dispute Resolution (ODR) platform managed by the European Commission, available at https://ec.europa.eu/consumers/odr/. Lobby9 is not obligated to use ADR/ODR in all cases, but may agree to participate at its discretion.

11.6. Informal Resolution First

Before initiating formal legal action, you agree to first attempt to resolve the dispute informally by contacting us at support@lobby9.com. We will attempt to resolve the dispute in good faith within thirty (30) days. If no resolution is reached, either party may pursue remedies in accordance with this Section.

11.7. Binding Arbitration for U.S. Consumers.

For U.S. consumers, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Class Action Waiver: You and Lobby9 agree that each may bring claims only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. Opt-Out: You may opt out of arbitration within 30 days of accepting these Terms by emailing support@lobby9.com with subject “Arbitration Opt-Out,” including your name and the email tied to your account.

12. Amendments

12.1. Our Right to Modify

We may modify these Terms and any related policies (collectively, the “Terms”) from time to time to reflect changes in our Services, business, technology, or legal and regulatory requirements. Where we make changes, we will update the “Effective Date” and provide notice as described below.

12.2. Types of Changes

(a) Non-Material Changes. Editorial, clarifying, and administrative updates that do not reduce your rights or increase your obligations may take effect upon posting.

(b) Material Changes. Changes that materially affect your rights or obligations (for example, changes to fees, dispute resolution, or your substantive use rights) will take effect no earlier than fifteen (15) days after notice, unless an exception in Section 12.4 applies.

12.3. How We Will Notify You

We will provide notice of material changes by one or more of the following:

• posting the updated Terms at https://lobby9.com/legal/terms-of-services;

• in-product banners or pop-ups; and/or

• email to the address associated with your Account (where available).

12.4. Exceptions to Notice Period

We may implement changes with shorter or no advance notice where:

• required to comply with law, court order, or regulatory guidance;

• needed to address security, safety, or integrity issues; or

• In such cases, we will provide notice as soon as reasonably practicable.

12.5. Your Options if You Disagree

If you do not agree to the updated Terms, you must stop using Lobby9 and may request closure of your Account before the effective date of the changes. Continued access or use of the Services after the effective date constitutes your acceptance of the updated Terms.

12.6. Consumer Law Preservation

Nothing in this Section limits rights you may have under mandatory consumer protection laws (including in the EU, UK, and certain U.S. states). Where those laws require additional notice, consent, or prohibit certain unilateral changes, we will comply with applicable requirements.

12.7. Effective Date and Supremacy

The version of the Terms in force is the version posted at https://lobby9.com/legal/terms-of-services as of the Effective Date listed at the top. In the event of a conflict between a previous version and the current posted version, the current posted version controls as of its effective date.

13. Other Provisions

13.1. Assignment of Rights and Obligations

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. Any attempted assignment without such consent shall be void. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, sale of assets, financing, or insolvency proceeding.

13.2. No Agency or Partnership

Nothing in these Terms creates any joint venture, partnership, employment, or agency relationship between you and Lobby9 or any third party. You may not hold yourself out as an agent or representative of Lobby9.

13.3. No Waiver of Rights

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights. Any waiver must be made in writing and signed by an authorized representative of Lobby9.

13.4. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Where possible, the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

13.5. Entire Agreement

These Terms, together with our Privacy Policy and any additional policies or guidelines incorporated by reference, constitute the entire agreement between you and Lobby9 with respect to your use of the Services and supersede all prior understandings or agreements, written or oral.
